LLC vs LTD for Dropshipping: Which Legal Setup Actually Fits Your Store

Underwriters score three things together: where the entity lives, where you live, and where your customers live. When those three line up, approvals are fast. When they do not, every application becomes a special case, and special cases get declined.
US LLC: Wyoming, New Mexico, Delaware
- Fast and cheap: formed in days, low annual costs, minimal formality
- US PSP access: with an EIN, US processors and US banking open up, which matters when your customers are American
- The catch for non-residents: US filing obligations still exist even when no US tax is owed, and US banks have tightened remote onboarding. Budget for a proper accountant
UK LTD
- Registered in a day, respected by UK and EU processors, cheap to run
- Full UK and EU fintech access: Wise, Revolut and most EMIs onboard LTDs smoothly
- The catch: directors and filings are on the public register, and corporation tax filing is mandatory from year one
EU options worth knowing
Estonia's OÜ runs fully digitally through e-residency and fits location-independent founders. Romania's SRL offers low administration costs for small operations; verify the current tax regime before committing, it has changed more than once. A Dutch BV is the premium pick when you want maximum institutional credibility in the EU.
The factor that outranks all of this
Your personal tax residency. Where the company sits does not change where you owe tax as its owner. A US LLC owned from Germany is taxed by German rules. Every clever structure that ignores this ends the same expensive way. Get one hour with a cross-border tax advisor before forming anything. It is the highest-ROI hour in e-commerce.
